Chambal Fertilizers to Invest Rs. 60 mn in Renewable Energy

Chambal Fertilizers and Chemicals has agreed to acquire a 26 per cent stake in a captive power generation facility for an investment of up to Rs. 60 mn. The transaction is part of a Share Purchase Agreement signed on 17 October 2026 with Clean Max Enviro Energy Solutions and Clean Max Hachi, a Special Purpose Vehicle (SPV).

Clean Max Hachi has been formed to develop and operate a 5 MW hybrid wind-solar power generation facility in Rajasthan. The project is intended to replace part of Chambal Fertilizers’ purchased grid electricity with renewable power, helping the company reduce energy costs and support its sustainability objectives.

The SPV has authorised share capital of Rs. 3 mn, divided into 300,000 equity shares with a face value of Rs. 10 each. It has not commenced operations and has no reported turnover for the past three years. The company was incorporated in India on 17 June 2026 under the Companies Act, 2013.

The acquisition is expected to be completed within two months of execution of the agreement. The transaction will be funded entirely through cash consideration and does not require governmental or regulatory approvals, according to the filing.

Chambal Fertilizers said the investment does not constitute a related party transaction. Its promoters and promoter group have no interest in Clean Max Hachi, the filing stated. The company is pursuing the acquisition as part of efforts to increase renewable energy in its overall energy mix while strengthening operational efficiency.
