Aurum PropTech To Acquire Housing.com Parent In Rs 4.58 bn Share Swap

Aurum PropTech's board approved the acquisition of 100 per cent of Locon Solutions, the owner of Housing.com, from REA India Pte. Ltd through a share-swap transaction valued at Rs 4,580.6 million (mn).

The consideration will be settled by the preferential allotment of 19.8 mn equity shares at Rs 231.42 per share to REA India, which would raise REA India's shareholding in Aurum PropTech to 24.9 per cent from 5.53 per cent as on 31 March 2026.

The proposed acquisition is intended to integrate Housing.com's property marketplace into Aurum's PropTech ecosystem to form a unified artificial intelligence and data-driven real estate platform.

The platform is envisaged to span property discovery, developer inventory, brokerage services, rentals and transactions, and to consolidate marketplace functions with Aurum's existing digital tools and services.

The transaction is expected to be completed by 30 September 2026, subject to regulatory, statutory and shareholder approvals.

Separately, the board approved the issuance of 5.1 mn fully convertible warrants to promoter Aurum RealEstate Developers at Rs 231.42 per warrant, aggregating up to Rs 1,180.2 mn.

This equity infusion is intended to strengthen the company's capital base and support integration and growth of the integrated PropTech offerings over the coming quarters.

Directors also approved amendments to the articles of association to incorporate tag-along rights that will permit REA India to participate proportionately in specified promoter share sales.

Aurum PropTech expects the combined entity and governance safeguards to foster transparency, trust and digital transformation across the real estate sector.

The companies anticipate operational synergies and a broadened product suite for customers and developers.
