Allcargo Completes Demerger Of Global Supply Chain Arm
Under the composite scheme of arrangement, Allcargo Logistics has demerged its international supply chain business into a newly incorporated entity named Allcargo Global Limited. Following this, the company’s domestic express distribution and consultative logistics operations have been merged into Allcargo Logistics Limited, creating a unified structure aimed at driving operational synergy and long-term value creation, the company said in a statement.
The Mumbai bench of the National Company Law Tribunal (NCLT) approved the scheme on 10 October, paving the way for the restructuring.
The board of directors has set 12 November as the record date for the transaction. From that date, the shares of Allcargo Logistics Limited will trade ex-international business, reflecting the new structure.
The merger consolidates the domestic express business (currently under Allcargo Gati and GESCPL) and the consultative logistics business (currently under ASCPL) into the resulting Allcargo Logistics entity.
The listing of Allcargo Global Limited will take place following the completion of necessary regulatory approvals and processes.
As part of the restructuring, shareholders of Allcargo Logistics Limited will receive one share each in both Allcargo Logistics and Allcargo Global Limited on a 1:1 basis. Additionally, shareholders of Allcargo Gati Limited will be allotted 63 shares of Allcargo Logistics Limited (post demerger) for every 10 shares held in Allcargo Gati Limited.
The company said this strategic realignment is designed to sharpen business focus, enhance operational efficiencies, and unlock greater value for shareholders through dedicated management attention to both domestic and international operations.
