Allcargo Logistics Restructures Operations After NCLT Approval

Allcargo Logistics Limited, India’s largest integrated logistics solutions provider, has received approval from the National Company Law Tribunal (NCLT), Mumbai Bench, for its Composite Scheme of Arrangement under Sections 230–232 of the Companies Act, 2013. The approval marks a major milestone in the company’s long-term restructuring plan, enabling sharper strategic focus and simplified corporate structure.
Under the approved scheme, Allcargo’s International Supply Chain business will be demerged into a new listed entity—Allcargo Global Limited, while the domestic express and contract logistics businesses currently under Allcargo Gati and its subsidiaries will be consolidated under Allcargo Logistics Limited.
Shareholders of Allcargo Logistics will receive one share in Allcargo Global for every one share held in Allcargo Logistics. Additionally, shareholders of Allcargo Gati Limited will be allotted 63 shares of Allcargo Logistics for every 10 shares held. Record dates will be announced shortly.

Following the NCLT approval, the company will file the sanctioned scheme with the Registrar of Companies and initiate steps for implementation, including share allotment and listing of the new entity.
Post-restructuring, Allcargo Group will comprise four listed entities:
• Allcargo Global Limited – International Supply Chain business
• Allcargo Logistics Limited – Domestic logistics, express and contract logistics
• Allcargo Terminals Limited – CFS/ICD operations
• TransIndia Real Estate Limited – Real estate and infrastructure
