HMS Industrial Networks SLU, a wholly owned subsidiary of HMS Networks (publ), has announced a friendly public takeover offer for Robot SA, a Spanish building automation specialist with a strong presence in the hospitality sector.

The proposed acquisition aims to expand HMS Networks’ Building Automation portfolio and create new business opportunities focused on hotels and other large buildings.

Based in Palma de Mallorca, Robot SA has been active in building automation since 1983. The company develops Building Management Systems (BMS) that enable hotels and large buildings to manage energy resources, room comfort, lighting, water systems and common areas. Robot currently employs 65 people.

Robot’s solutions complement HMS’ existing Building Automation brand, Intesis, by adding guest room management and wider building management capabilities for the hospitality market. The combined offerings are expected to provide hotels and system integrators with integrated solutions covering communication gateways, HVAC integration, room control, energy optimisation and management of shared facilities.

Robot’s experience in hotel automation is expected to strengthen HMS’ ability to support customers seeking smarter and more energy-efficient buildings. Its systems help technical teams manage energy production and distribution while enabling guests to control room functions such as temperature and lighting.

The acquisition also presents opportunities to expand Robot’s solutions into new markets by leveraging HMS’ global sales and support network, including regions such as Asia-Pacific and the Middle East.

Robot SA is a listed company in Spain, and the acquisition will proceed through the required public takeover and delisting process. HMS expects the completion of the transaction around December 1, 2026. The acquisition is expected to strengthen HMS’ position in Building Automation and support growth across hospitality and other energy-intensive building segments.
