CCI Clears Devyani-Sapphire Merger, Adani’s Rs. 30.5 bn IntelliSmart Deal

The Competition Commission of India (CCI) has approved five proposed transactions across the food services, renewable energy, power infrastructure, financial services and telecommunications sectors. The approvals involve Aditya Birla Renewables, Adani Energy Solutions, Prosus and Vodafone Group, among other companies.

One of the key approvals covers the proposed merger of Sapphire Foods India with Devyani International. The combination will bring two major operators of KFC and Pizza Hut outlets in India under a single corporate structure. The merged business is expected to operate more than 3,000 stores globally and record an annualised turnover of about Rs. 80 bn.

In the renewable energy sector, the regulator approved Aditya Birla Renewables’ acquisition of the entire share capital of Solenergi Power from Shell Overseas Investment. The transaction, valued at approximately Rs. 172 bn when announced in July, includes Shell’s Sprng Energy renewable energy business in India.

The CCI also cleared Adani Energy Solutions’ acquisition of IntelliSmart Infrastructure for Rs. 30.5 bn. IntelliSmart is being acquired from the National Investment and Infrastructure Fund and Energy Efficiency Services. The transaction is expected to expand Adani Energy Solutions’ presence in India’s smart electricity metering sector.

In financial services, the regulator approved the acquisition of a shareholding in Navi by MIH Payments Holdings, an indirect wholly owned subsidiary of Prosus. Navi, founded by Sachin Bansal, provides financial services through a consumer-facing mobile application. The fifth approval relates to French company Vega’s acquisition of a 16.2 per cent stake in Vodafone Group, which operates telecommunications businesses across Europe and Africa and has a presence in India through Vodafone Idea.
