CCI Clears Lence’s Stake Hike in AWL Agri Business

The Competition Commission of India (CCI) has approved the proposed acquisition of between 11 per cent and 20 per cent shareholding in AWL Agri Business Limited by Lence Pte. Ltd.

AWL Agri Business Limited—formerly known as Adani Wilmar Limited—operates in the fast-moving consumer goods (FMCG) sector, with activities spanning edible oils, food products, and industrial essentials such as soaps and cleaning solutions.

Lence Pte. Ltd., the acquirer, is a wholly-owned subsidiary of Wilmar International Limited and forms part of the Wilmar Group, which does not have a direct business presence in India except through AWL Agri Business and Shree Renuka Sugars Limited (SRS). SRS is primarily engaged in the milling, refining, and sale of sugar.

Under the approved transaction, Lence Pte. Ltd. will acquire up to 20 per cent and not less than 11 per cent of the paid-up equity share capital of AWL Agri Business. The acquirer currently holds 43.94 per cent, and following the transaction, its total shareholding will rise to between 54.94 per cent and 63.94 per cent.

The CCI stated that a detailed order regarding the approval will be issued in due course.
