Blue Cloud Acquires Global Impx To Build AI Energy Platform

Blue Cloud Softech Solutions Limited (BCSSL) has announced that its board has approved the acquisition of 100 per cent of Global Impx Inc. (GIX) in an all-share transaction, subject to execution of definitive agreements and applicable regulatory and shareholder approvals. The move is intended to reposition BCSSL as a technology-enabled infrastructure company at the convergence of artificial intelligence, clean energy, and digital infrastructure. A special resolution is scheduled for the fourth of May, 2026.

GIX is reported to bring a strategic land parcel of approximately 196.7 acres near Gopalpur Port and National Highway 16, with development approvals from the Odisha IDCO and plans for a phased data centre campus. The campus development contemplates five Megawatt (MW) in Phase I, 25 MW in Phase II and 100 MW in Phase III for hyperscale capacity. The acquisition is presented as a cross-border platform combining United States technology capabilities with India-scale infrastructure execution.

An independent valuation dated the fourth of April, 2026 valued GIX at approximately Rs 3,728.1 million (mn), subject to final documentation and approvals. BCSSL reported fiscal year 2025 revenues of Rs 7,980 mn, representing a 59 per cent year-on-year increase, and intends to pursue capital-efficient, all-share structuring that avoids immediate cash outflow. The company anticipates revenue from infrastructure-led project development, long-term contracted services and recurring digital and AI-driven offerings.

BCSSL plans to create a dedicated AI and data centre infrastructure vertical to integrate renewable energy systems, battery storage and AI-led energy optimisation with data centre management. Global Impx will become a wholly owned subsidiary and several entities will become step-down subsidiaries, enabling an integrated delivery model for distributed energy, Energy-as-a-Service (EaaS) solutions and Virtual Power Plant (VPP) platforms. Company executives indicate the acquisition aligns with a long-term strategy to scale AI-intensive compute supported by reliable energy systems and to explore platform-level capital partnerships.
