Arisinfra Raises Buildmex-Infra Stake to 92%
Arisinfra Solutions Limited will acquire an additional 16 per cent stake in its material subsidiary, Buildmex-Infra Private Limited (BIPL), increasing its total holding to 92 per cent.The acquisition covers 16,000 equity shares for Rs 600 million and is expected to be completed by September 30, 2026.BIPL procures, trades and distributes construction materials for infrastructure and real estate projects. The company’s revenue increased from Rs 179.3 million in FY24 to Rs 703.6 million in FY25 and Rs 1.79 billion in FY26, representing an approximately tenfold increase over two years.The higher stake will give Arisinfra a larger share of BIPL’s economic value and strengthen alignment across the group’s materials platform. Arisinfra expects its trade deposits and advances to reduce by a corresponding Rs 600 million, meaning the transaction will not draw down its overall cash position.“Buildmex has shown what our model can do at scale. Increasing our ownership now is a deliberate, long-term decision. We see significant headroom for growth and margin expansion in this business, and we want our shareholders to capture more of that value. The transaction has been structured thoughtfully, so it strengthens our position without affecting our ability to invest in growth,” said Ronak Morbia, Chairman & Managing Director, Arisinfra Solutions Limited.The shares are being acquired from BIPL’s existing minority shareholder. The transaction is not a related-party transaction.
