Waaree to Consolidate Plants and Expand US Capacity

Waaree Energies Limited approved strategic measures at a board meeting on August 29, 2026 to reshape its manufacturing footprint and US operations. The board approved consolidation of two domestic facilities into the existing Chikhli, Gujarat plant and authorised relocation of plant and machinery from Tumb and Nandigram. The Tumb facility had a capacity of one gigawatt (GW) and Nandigram one point one one GW, and the relocation is expected to be completed on or before December 31, 2026. The move is intended to improve operational efficiency.

The two facilities together accounted for approximately 14 per cent of Waaree Energies' standalone turnover in the last financial year, the company said. Management indicated the consolidation is expected to streamline production, reduce logistics and operating costs and optimise utilisation at Chikhli. Officials foresee operational benefits from centralising module assembly and related processes. The announcement follows a broader strategy to rationalise domestic assets.

Internationally, the board approved capital expenditure of about US$37 mn by Waaree Solar Americas Inc. (WSA), the company's wholly owned US subsidiary, to revamp the Arizona plant. The revamp will replace module production lines with high-efficiency lines and raise capacity from one GW to one point six GW. After completion, aggregate United States capacity will increase to four point eight GW, comprising three point two GW at Texas and one point six GW at Arizona. The expenditure will be financed through debt and internal accruals.

The board appointed Ms Mona Bhide as an additional non-executive independent director for a first term of five years from August 30, 2026, subject to shareholders' approval. Bhide has practised law since 1989 and is Managing Partner of Dave & Girish & Co. Advocates, with expertise in corporate law, securities, capital markets, structured finance and mergers and acquisitions. Ms Richa Goyal completed her first five-year term and ceased to hold office at the close of business on August 29, 2026. The board expressed appreciation for her contributions.
