NCLT Clears Merger Of Toshali Cements With JK Cement

The Allahabad Bench of the National Company Law Tribunal (NCLT) has approved the amalgamation of Toshali Cements Pvt Ltd with JK Cement Ltd, with the merger taking effect from 1 January 2024.

As a result, all assets, liabilities, employees, and legal proceedings of Toshali Cements Pvt Ltd — a wholly owned subsidiary of JK Cement — have been transferred to the parent company. Toshali Cements will stand dissolved without winding up.

According to an exchange filing by JK Cement, the Tribunal sanctioned the scheme of amalgamation through its order dated 12 September 2025 in Company Petition No. CP(CAA) 15/ALD/2025, under Sections 230 to 232 of the Companies Act, 2013. The order was subsequently amended on 9 October to correct the jurisdiction of the Registrar of Companies from Dehradun to Kanpur.

JK Cement confirmed that it received the certified copy of the order and filed it with the Registrar of Companies on 15 October 2025, thereby making the scheme effective the same day.

The company said the merger aims to simplify its group structure and enhance operational efficiency by consolidating resources under a unified entity.

Headquartered in Kanpur, JK Cement Ltd manufactures both grey and white cement, with production facilities located across Rajasthan, Madhya Pradesh, Haryana, Karnataka, Gujarat, and Uttar Pradesh.

On 15 October, JK Cement’s shares closed 3.2 per cent lower, though the stock has risen about 42 per cent since the start of the year.
