Capital Infra Trust Seeks Nod to Acquire Six Road Assets

Capital Infra Trust has initiated a postal ballot to seek unitholders’ approval for four resolutions, including the proposed acquisition of six road assets. The remote e-voting process is scheduled from August 18 to September 9, 2026, with results expected by September 11.

The Trust’s Investment Manager, Gawar Investment Manager Private Limited, issued the postal ballot notice after its board approved the proposal on August 17, 2026. KFin Technologies Limited has been appointed to facilitate the remote e-voting process.

The key proposal involves the acquisition of 100% equity share capital, in one or more tranches, of six special purpose vehicles — Gawar Bhiwani Highway, Gawar Kangra Highways, Gawar Pathankot Mandi Highway, Gawar Udaipur Highway, Gawar Waranga Highways and Gawar Rudrapur Highway.

Unitholders will also vote on proposals to raise borrowings and create charges on assets, raise funds through institutional placement or debt, and issue units preferentially to sponsor Gawar Construction Limited for an aggregate consideration of up to Rs 1,24,99,92,800.

Hare Krishna, Chief Executive Officer, Capital Infra Trust, said the proposed acquisition supports the Trust’s strategy of building a diversified and high-quality infrastructure portfolio for unitholders.

The postal ballot notice and the valuation report for the target assets, dated August 17, 2026, have also been submitted to the stock exchanges and made available on the Trust’s website.
