Powergrid Board To Consider Rs 350 Billion Borrowing For FY27 And FY28

Power Grid Corporation of India Limited (POWERGRID) will hold a board meeting on July 22, 2026, to consider borrowing proposals to support funding requirements and expansion plans disclosed in a regulatory filing to the National Stock Exchange and BSE Limited. The proposals were disclosed in a filing dated July 16, 2026 and relate to limits and specific borrowing programmes intended to fund the company’s capital expenditure pipeline. The meeting is a routine exercise to seek board direction ahead of any shareholder approvals.

One principal item is a proposal to raise the company’s borrowing limit for the financial year 2026-27 from Rs 300 billion (bn) to Rs 350 bn. The board will separately consider approving borrowings of up to Rs 350 bn for the financial year 2027-28 to align with projected funding needs. These figures reflect an increase in the sanctioned debt headroom intended to underwrite grid expansion and transmission projects.

The filing indicates that funds may be raised through multiple financing sources, including private placements of domestic bonds that could be issued as secured or unsecured instruments. Such instruments may be non-convertible, non-cumulative and redeemable and may vary between taxable and tax-free structures depending on market conditions. The precise mix and timing of instruments will be determined by the board and management in line with funding requirements and prevailing market dynamics.

Any decision of the board on the proposed borrowings will require shareholder approval at the forthcoming annual general meeting before implementation. The company has also informed exchanges that its trading window was closed on June 24, 2026 in accordance with insider trading regulations and will reopen 48 hours after the announcement of the financial results for the quarter ended June 30, 2026. The regulatory filing was signed by the company secretary and compliance officer and sets out the procedural steps to be followed.
